Practice Disposals

There is an increasing market in the buying and selling of Law Firms. The most successful sales are often those that are planned well in advance.

We are able to assist Firms in the lead management of the entire sale process. We have bought and sold businesses both on our own account and in an advisory capacity for clients. Verus UK understands the sale process and the importance of appointing experienced advisors.

The sale process can be distracting for Partners if not managed appropriately. Our role is to drive the sale process efficiently and professionally to ensure minimum disruption to the day to day running of the Firm.

Our role comprises the following:

  • Advising on the sale planning
  • Valuation of the firm
  • Preparation of the sales memorandum
  • Identification of potential purchases
  • Obtaining a signed confidentiality agreement
  • Contacting potential purchasers
  • Controlling the release of information
  • Attending all meetings with potential purchases and assisting in detailed negotiations

Practice Acquisitions

Firms looking to grow through acquisition can identify potential targets in 2 ways;

  • Obtain details of Targets openly advertised for sale or;
  • Research Targets not openly for sale and approach directly.

Researching Targets requires Firms to set out their acquisition criteria. The benefits of this approach are that a successful fit post acquisition is more likely and it is less likely that there will be competition form other buyers driving the price higher.

Our role in the acquisition process will typically involve the following;

  • Assisting in establishing the acquisition criteria
  • Researching the market in identifying targets
  • Approaching Targets identified and obtaining initial information
  • Identify the preferred Target
  • Assisting with negotiations
  • Assisting with due diligence
  • Raising finance and structuring the deal
  • Reviewing the sale and purchase agreement

A structured approach is essential in order to minimise the impact on Partner time.

Management Buyouts

Many Partners do not wish to market their Firm for sale in order to achieve their exit route on retirement. They would rather sell their interest in the Firm to existing Partners or staff.

We are able to assist junior Partners or other senior fee earners in the structuring and funding of a management buy-out.
